Recommendation
Related to the AltaPointe Health Systems, Inc. (a 310 Board), and pursuant to the provisions of Section 22-51-7, Code of Alabama (1975), take the following action:
1) Adopt Resolution #2019-104, which approves and gives the consent of the Baldwin County Commission, for AltaPointe Health Systems, Inc. to amend its Articles of Incorporation and approves the merger of AltaPointe Health Systems, Inc. with Mobile Association for Retarded Citizens, Inc. in order to provide services in Mobile, Alabama.

Background: On June 5, 2019, correspondence was received from Mr. Tuerk Schlesinger, Chief Executive Officer of AltaPointe Health Systems, Inc. requesting the Baldwin County Commission to consider the adoption of a resolution which approves the amendment of the Articles of Incorporation for Altapointe Health Systems, Inc. in order for Altapointe to merge with Mobile Association of Retarded Citizens, Inc., and to allow for the addition of services in Mobile, Alabama.
Mr. J. Tuerk Schlesinger, Chief Executive Officer, AltaPointe, Health Systems, Inc. attended the June 11, 2019, work session to discuss the request with the Commission.
GENERAL BACKGROUND ON ALTAPOINTE HEALTH SYSTEMS, INC.:
On April 1, 2014, the Baldwin County Mental Health Center (Baldwin County Board of Mental Health) merged with AltaPointe Health Systems, Inc.
AltaPointe Health Systems, Inc. is a public corporation organized under Sec.22-51-1, et seq., Code of Alabama 1975
According to the governing Articles of Amendment - Amended and Restated Articles of Incorporation of AltaPointe Health Systems, Inc., the Baldwin County Commission can appoint three (3) initial members of the Board of Directors to represent Baldwin County, Alabama, and in perpetuity, appoint the three (3) member place seats thereafter when the initial terms of office expire. The appointments are to be made by resolution of the Baldwin County Commission.
