STAFF RECOMMENDATION

. Recommendation

Adopt the Resolution and Order No. 2026-121 authorizing execution, issuance, and delivery of the $10,000,000.00 General Obligation Warrant (Taxable Revolving Line of Credit), Series 2026, including approval of the Line of Credit Agreement, Warrant, and all associated Transaction Documents.

 

These actions will establish an emergency revolving line of credit for disaster related liquidity that needs to be used only as necessary.

BACKGROUND INFORMATION

 

Background:  Baldwin County experiences recurring emergency events that may create short-term cash flow pressures. To ensure rapid access to funds for disaster response, the County proposes entering into a Taxable Revolving Line of Credit (LOC) with Regions Bank, evidenced by a $10,000,000.00 General Obligation Warrant. Via this agenda item, the Commission is asked to consider and vote on the Resolution and Order authorizing: 1) Approval of the Line of Credit Agreement; 2) Issuance of Warrant to Regions Bank; 3) Authorization for execution, attestation, and delivery of all Transaction Documents.

 

If adopted, the County will finalize and execute all closing documents immediately following the meeting.

 

Debt Limit Compliance: The County Administrator / Clerk Treasurer has provided the Certificate of Indebtedness, confirming the County remains within the statutory debt cap established under Section 224 of the Alabama Constitution (5% limit). The legal debt margin after issuance of the LOC would be $372,476,834.  This certificate is presented for Commission review and acceptance as part of the July 21, 2026, action.

FINANCIAL IMPACT

 

Total cost of recommendation:  There is no interest cost unless the LOC is activated.  The County will incur an annual unused fee of $5,000 - 0.05% is charged on the Average Unused Portion of the $10,000,000.00 facility - as calculated on specific determination dates. The County is also responsible for the Warrant holder’s legal fees required for issuance.
