STAFF RECOMMENDATION

Recommendation

At the request of The Educational Building Authority of the City of Fairhope, Alabama - St. Michael Catholic High School (the Authority), adopt Resolution #2026-065 which approves the Authority’s issuance of a Revenue Bond, Series 2026, for the use by St. Michael Catholic High School to refinance the indebtedness incurred by the Authority for the benefit of the school to pay the costs of the educational facilities, library, technology center, dining halls, media center, recreational facilities, multi-purpose building, and parking facilities which constitute St. Michael Catholic High School located at 11732 St. Michael Way (previously Higbee Road) within the jurisdiction of the Authority.

BACKGROUND INFORMATION

 

Background:  A request was received on March 11, 2026, from Maynard Nexsen (see attached email) for the Commission to adopt a resolution approving issuance of a Revenue Bond for St. Michael Catholic High School. This resolution and approval by the County Commission is required under federal tax law to permit St. Michael Catholic High School to refinance its existing debt on a tax-exempt basis. The loan being refinanced was incurred in 2015 to finance the existing school buildings and extended in 2022.

 

The provisions of the Internal Revenue Code of 1986, as amended, relating to the issuance of obligations such as the Bond require that the chief elected officer or the elected legislative body of the governmental unit approve the issuance of the bond after a public hearing following reasonable public notice. The public hearing was held on March 9, 2026. Affidavit of publication is attached.

 

Note: Section 3 of the Resolution makes it clear that this action will not have any impact on the borrowing capacity of the County and does not impose any liability upon the County.

 

The Commission approved the initial bonds issued by the Archdiocese of Mobile for St. Michael Catholic High School in 2015 by adoption of Resolution #2015-148 (attached for reference).

12/05/2022 BCC Regular Meeting - At the request of The Educational Building Authority of the City of Fairhope, Alabama - St. Michael Catholic High School (the Authority), executed the Certificate of the Baldwin County Commission related to the Authority’s issuance of Revenue Bonds, Series 2022, for the use by St. Michael Catholic High School to refinance the indebtedness incurred by the Authority for the benefit of the school to pay the costs of the educational facilities, library, technology center, dining halls, media center, recreational facilities, multi-purpose building, and parking facilities which constitute St. Michael Catholic High School located at 11732 Higbee Road within the jurisdiction of the Authority.

 

09/01/2015 BCC Regular Meeting - Adopted Resolution #2015-148 which approved the bonds issued by the Archdiocese of Mobile for St. Michael Catholic High School.
