Recommendation
Related to the AltaPointe Health Systems, Inc., take the following action:
Adopt Resolution #2019-046, which re-appoints Mr. Robert Wills as a member of the Board of Directors of AltaPointe Health Systems, Inc. for a six (6) year term, said term to commence on April 1, 2019, and expire April 1, 2025.

BACKGROUND INFORMATION
Previous Commission action/date: March 21, 2017 - Last Board Appointment by Baldwin County Commission.
Background: Staff received correspondence from Mr. Tuerk Schlesinger, Chief Executive Officer of AltaPointe Health Systems, Inc. on February 10, 2019, requesting the Baldwin County Commission re-appoint Mr. Robert Wills to its Board of Directors.
GENERAL BACKGROUND ON ALTAPOINTE HEALTH SYSTEMS, INC.:
On April 1, 2014, the Baldwin County Mental Health Center (Baldwin County Board of Mental Health) merged with AltaPointe Health Systems, Inc.
AltaPointe Health Systems, Inc. is a public corporation organized under Sec.22-51-1, et seq., Code of Alabama 1975
According to the governing Articles of Amendment - Amended and Restated Articles of Incorporation of AltaPointe Health Systems, Inc., the Baldwin County Commission can appoint three (3) initial members of the Board of Directors to represent Baldwin County, Alabama, and in perpetuity, appoint the three (3) member place seats thereafter when the initial terms of office expire. The appointments are to be made by resolution of the Baldwin County Commission.
