STAFF RECOMMENDATION
Recommendation
Related to the Cindy Haber Center, Inc., take the following actions:
1) Accept the resignation of Ms. Peggy Vanover Barnes as a member of the Board of Directors, effective April 4, 2019, and thank her for her prior civic service as a member of the board; and
2) Accept the resignation of Ms. Laconda Davenport as a member of the Board of Directors, effective March 28, 2019, and thank her for her prior civic service as a member of the board; and
3) Adopt Resolution #2019-092, which appoints Ms. Julie Shiver Jackson as a member of the Board of Directors to replace the place seat of Ms. Laconda Davenport, for a pro-rata reduced six (6) year term, said term to commence June 4, 2019, and expire April 1, 2025.

BACKGROUND INFORMATION
Previous Commission action/date: April 2, 2019 - Last Board Appointment by Baldwin County Commission.
Background: Staff received correspondence from Ms. Clara Myers, President of the Board of Directors of the Cindy Haber Center, Inc., on May 15, 2019, requesting the Baldwin County Commission to appoint Ms. Julie Shiver Jackson to its Board of Directors.
Staff received the resignation letters of Ms. Laconda Davenport and Ms. Peggy Vanover Barnes on May 23, 2019.
Ms. Julie Shiver Jackson will replace Ms. Laconda Davenport on the board.
The place seat of Ms. Barnes will be vacant until a request is received from the Cindy Haber Center, Inc. for her replacement on the Board of Directors.
Through correspondence from the Cindy Haber Center, Inc., staff has verified that the proposed appointment is a resident of the area which she seeks to represent and which is to be served by the proposed facilities (Baldwin County, Alabama). Therefore, staff confirms that Julie Shiver Jackson meets the requirements set forth in §22-51-8, Code of Alabama 1975.
Background on the Cindy Haber Board, Inc.:
The Cindy Haber Center, Inc. (“Board”), operates under an Act of the Legislature, generally and commonly referred to as Act 310, which was adopted by the Alabama Legislature in 1967.
Today, Act 310 is codified at §22-51-1, et seq., Code of Alabama 1975. The pursuits of this Board remain the planning of actions to combat mental retardation and other associated developmental disabilities.
This Board was originally established in May, 1994, with the required approval granted by the Baldwin County Commission, as the “Baldwin County Mental Retardation Board, Inc.”
In October, 1998, this Board sought to amend their then existing Articles of Incorporation to become the Mental Retardation/Developmental Disabilities Board, Inc., in order to service both Baldwin and Clarke Counties.
In October, 2010, this Board requested the Baldwin County Commission approve restated articles of incorporation which was approved by adoption of Resolution #2011-010 (October 5,2011, regular meeting) which, among other things, changed the name of the public corporation to the MR/DD Board, Inc.
In January, 2018, the Baldwin County Commission adopted Resolution #2018-042, which officially changed the name of The MR/DD Board, Inc., to The Cindy Haber Center, Inc., and modified the Articles of Incorporation to reflect said change.
In March, 2018, the Baldwin County Commission approved an amendment to Resolution #2018-042, which corrected the name change from “The Cindy Haber Center, Inc.” to “Cindy Haber Center, Inc.” as requested by the board and modified the Articles of Incorporation to reflect said change.
On January 15, 2019, the Baldwin County Commission adopted Resolution #2019-038 which approved expanding the service area of the Cindy Haber Center, Inc., to Mobile County and the 2018 Amended Certificate of Incorporation to reflect the expansion.
Today, this Board remains composed of a total of thirty-two (32) members serving six (6) year terms, of which eight (8) members are appointed by the Baldwin County Commission, eight (8) members are appointed by the Clarke County Commission, eight (8) members are appointed by the Washington County Commission, and eight (8) members are appointed by the Mobile County Commission.
In order to be nominated/appointed for service on this Board, by the Baldwin County Commission, such person must be a resident of Baldwin County, Alabama.
